Terms and Conditions

1 Scope

1.1 These General Terms and Conditions (hereinafter the “Terms”) apply to the music streaming service “audiorooms” offered on the website by Audiorooms GmbH (hereinafter “audiorooms”), which the user can access via the website at www.audiorooms.co.uk.

1.2 By using the website, and at the latest upon personal registration, the user accepts the validity of these Terms.

1.4 In addition to these Terms, our Privacy Policy applies and can be accessed by the user at any time via the website at www.audiorooms.co.uk.

2 Subject of the Contract

2.1 audiorooms provides background music for business customers via an online streaming service. The music repertoire is free from any fees payable to collecting societies such as PRS for Music. The terms for using the music streams are as follows:

2.2 The core service of the audiorooms streaming offering is the provision of music files that the user can play over the internet via a player. Downloading the music files is excluded and prohibited. Unless another form of playback has been agreed, the music is provided exclusively as streaming, as part of monthly subscriptions.

2.3 An audiorooms subscription includes usage rights to music tracks, with the monthly tariff depending on the size and number of premises being covered. Once a subscription is agreed, the user gains access to the music tracks and playlists. The music available at www.audiorooms.co.uk is entirely royalty-free and generally free from any collecting society fees.

2.4 Confirmation of royalty-free status and origin of the music

audiorooms provides users with more than 16,000 tracks on its platform www.audiorooms.co.uk as a reseller. The holder and administrator of the usage and copyright rights is the provider “Epidemic Sound”.

As part of their subscription, the user receives a certificate during the usage period confirming that the music can be used without any fees payable to collecting societies such as PRS for Music.

3 Scope of the Streaming Service

3.1 audiorooms offers users an extensive royalty-free music catalogue of more than 16,000 tracks. audiorooms provides users with a 7-day trial period during which they can use the service free of charge via streaming. This period does not renew automatically. Once the trial period ends, the user's account is suspended. The account can only be used again once a paid subscription has been booked.

3.2 “Subscribers” are all users of the streaming service who use the music offering on a paid basis. The available plans can be found on the audiorooms pricing page.

3.3 The subscriber may only use the music offering as background music in hotels, restaurants, shops, factories, studios, offices and other business premises. It is also permitted to stream the music at events or trade shows, provided this is purely for background use and the music is not incorporated into videos or similar material. Any use of the music offering for other purposes is not permitted. It is also strictly prohibited to resell or copy the music, or to transfer the account to another party, without prior consent from Audiorooms GmbH. Any breach will incur a penalty of at least £1,000.

3.4 One location can be managed per account. It is prohibited to share an account's login details with third parties or to use one account across multiple locations.

3.5 The user is responsible for the technical requirements needed to use the streaming service. The user likewise bears their own internet connection costs. The user is responsible for ensuring a stable internet connection. audiorooms accepts no liability in this regard.

4 Registration on www.audiorooms.co.uk

4.1 Use of the audiorooms music offering is only possible once the user has registered with a valid email address and password, and has agreed to these Terms and the Privacy Policy. As part of registration, the user also selects a payment method to enable billing for the service booked. audiorooms stores the user's data and confirms registration by sending an email to the address the user has provided.

4.2 Audiorooms GmbH reserves the right to decline individual user registrations without giving reasons.

4.3 By setting up a user account, the subscriber agrees to receive emails from Audiorooms GmbH about updates to the service, new features and account information.

5 User Account

5.1 After registering, the user has access to their private account area (hereinafter “My Account”).

5.2 Within “My Account”, the user can manage their data, create playlists and import existing playlists. The user is required to provide all necessary personal and address details truthfully.

5.3 The personal account (“My Account”) is protected from third-party access by an individual password. Sharing account access with third parties is expressly prohibited. Should there be any suspicion that the account is being used by a third party, Audiorooms GmbH reserves the right to suspend it immediately and to charge an appropriate penalty fee.

5.4 The user can access their customer account from various devices of their choosing, log in with their user data and use the booked service. However, the service can only be accessed from one device at a time.

6 Subscribing at www.audiorooms.co.uk

6.1 The paid area of the streaming service is available to subscribers only.

6.2 Upon registration, the user submits the data required to conclude the contract, such as company name, contact person, address, email address and payment details, and confirms that these are accurate.

6.3 The subscription contract between Audiorooms GmbH and the user takes effect once Audiorooms GmbH accepts and confirms the user's price request for the chosen subscription tariff, following entry of the desired payment method, via a confirmation email.

7 Prices, Payment Terms and Invoicing

7.1 The audiorooms offering is aimed at commercial customers, so-called “B2B customers”, with a registered business address in Germany, Austria or Switzerland. Accordingly, all prices stated on the website are binding net prices and are subject to an additional 19% VAT. audiorooms reserves the right to change the stated prices for use of the streaming service at its own discretion. Subscribers will be notified of price changes and their effective date by email in good time. Subscribers are free not to continue their current subscription contract once it ends if they do not agree with a price change, and may terminate this usage contract accordingly before the end of the contract term.

7.2 The payment methods currently available are “invoice” and “SEPA direct debit”. Before their subscription begins, the user receives an invoice and a usage contract. Once the countersigned contract has been returned, the account is activated following prior confirmation by email.

7.3 The agreed fee applies for the chosen subscription period. The user receives their invoice for the selected usage period by email. audiorooms reserves the right to change the available payment methods at any time and/or to exclude certain payment methods in individual cases.

7.4 Invoices are issued in line with the agreed payment periods.

7.5 In the event of late payment, audiorooms will notify the subscriber by email. The subscriber is then obliged to settle the outstanding amount within 5 working days into the account specified by audiorooms. Should payment not be made within this period, audiorooms is entitled to suspend the user account immediately. The subscriber remains liable for payment. audiorooms reserves the right to pursue further claims for damages.

7.6 Governing Law, Place of Performance and Jurisdiction

(a) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). (b) The place of performance and jurisdiction is our registered office, provided you are a merchant, a legal entity under public law, or a special fund under public law. The same applies if you have no general place of jurisdiction in Germany or the EU.

8 Contract Terms and Termination

8.1 Users in the trial period may cancel their account with audiorooms at any time, without giving reasons and with immediate effect. Upon cancellation, the account is deactivated and can be reactivated once a paid subscription has been booked.

8.2 Paid subscription contracts run for further terms of 3, 6 or 12 months, with a corresponding billing cycle. The subscription contract takes effect on the date the order is placed via www.audiorooms.co.uk. If notice of cancellation is not given in writing or by email at least four weeks before the end of the term, the subscription automatically renews for the same contract period. Any special termination requires prior agreement with audiorooms.

8.3 Following cancellation, the account is deactivated once the contract term ends. Cancellation must be submitted in text form, either by email or by post to Audiorooms GmbH, Auerstraße 18, 34121 Kassel.

8.4 Should the user breach any of the above conditions, audiorooms reserves the right to terminate the contract immediately for good cause.

9 Right of Withdrawal

Under Section 356(5) of the German Civil Code (BGB), the right of withdrawal ceases to apply once digital content, such as streaming, has been used.

As a user of our platform, we inform you when opening your account that, by entering into a contract with audiorooms, you waive your right of withdrawal. By signing the contract, you agree to its performance beginning before the withdrawal period ends, and you confirm that, by consenting to the start of the term, you lose your right of withdrawal.
